1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Entropy Media LLC ("Entropy Media," "we," "us," or "our") governing your access to and use of our website and services. By accessing or using our services, you agree to be bound by these Terms.
2. Services
Entropy Media LLC provides digital marketing services including SEO, paid advertising, social media marketing, branding, and web design. Specific deliverables, timelines, and fees will be outlined in separate service agreements or statements of work.
3. Intellectual Property
All content on this website, including text, graphics, logos, and designs, is the property of Entropy Media LLC and protected by intellectual property laws. Client deliverables are subject to the terms of the applicable service agreement.
4. Limitation of Liability
To the fullest extent permitted by law, Entropy Media LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services. Our total liability shall not exceed the amount paid by you for services in the twelve (12) months preceding the claim.
5. Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise stated, invoices are due net 14 days from the invoice date. Late payments may incur interest at the lesser of 1.5% per month or the maximum amount permitted by law.
6. Termination
Either party may terminate a service agreement in accordance with the terms specified therein. We reserve the right to suspend or terminate access to our website for any reason without notice.
7. Governing Law
These Terms and any disputes arising hereunder shall be governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal action shall be brought exclusively in the courts located in Sheridan County, Wyoming.
8. Dispute Resolution
Any dispute shall first be attempted to be resolved through good faith negotiation. If unresolved within 60 days, disputes shall be resolved through binding arbitration in Sheridan, Wyoming, in accordance with the rules of the American Arbitration Association.
9. Changes to Terms
We may modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of our services after changes constitutes acceptance of the revised Terms.
